Terms of Service

1. Definitions

Orkest means Orkest LLC, a Delaware limited liability company. Service means the desktop application, related backend services, and website. You means the individual or entity using the Service.

2. Acceptance

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

3. Account

You are responsible for maintaining the security of your account, the accuracy of information provided, and all activity under your account. You must be at least 13 years old (16 in EU) to use the Service.

4. Subscription, Trial, and Billing

The Service offers a 14-day free trial without requiring a credit card. After the trial:

• You can continue with read-only access at no cost
• You can subscribe to Monthly ($9 USD/mo) or Annual ($90 USD/yr), both auto-renewing
• You can purchase Lifetime v2 ($99 USD) as a one-time payment covering the v2.x product line

Subscriptions auto-renew until canceled via the Stripe Customer Portal. Cancellation is effective at the end of the current paid period. All payments are processed by Stripe.

5. Refund Policy

See our Refund Policy. Briefly: Monthly has a 14-day refund window, Annual and Lifetime have 30-day windows.

6. Lifetime v2 — Specific Terms

1. Coverage: Access to all v2.x.y releases of the Service while v2 is supported. We commit to a minimum of 18 months of v2 support after the v3.0 release.
2. Bug fixes and new features in v2 are included at no additional cost.
3. v3 upgrade: When v3.0 launches, your v2 license remains valid. A v3 upgrade will be offered at no more than 50% of the then-current Lifetime v3 list price.
4. Lifetime requires periodic online check-in (at least every 14 days). Without contact for 21+ days, the app enters read-only locally until reconnection.

7. Sunset Clause — Continuity Guarantee for Lifetime v2

If Orkest ceases licensing-service operations, we will publish, with at least 90 days advance notice (except in cases of force majeure), a "perpetual" version of the application capable of validating your Lifetime v2 license entirely offline. This version will be made available on at least two independent public channels (e.g., GitHub Releases and an external mirror).

8. Intellectual Property

The Service, including all software, design, and content, is the property of Orkest LLC. You receive a non-exclusive, non-transferable license to use the Service.

9. User Content

Workspaces, files, prompts, and other content you create are stored locally on your machine. Orkest does not collect, transmit, or have access to your content. Backend services store only auth, billing, and operational metadata.

10. Acceptable Use

You agree not to: (a) reverse engineer, except as permitted by law; (b) circumvent licensing or authentication; (c) share your account credentials; (d) use the Service for illegal activity.

11. Termination

You may cancel your subscription at any time via the Customer Portal. We may suspend or terminate accounts for violations of these Terms or for fraud (including chargebacks).

12. Disclaimers and Limitation of Liability

The Service is provided "AS IS" without warranties. To the fullest extent permitted by law, Orkest's liability is limited to the amount you paid in the 12 months preceding the claim.

13. Governing Law

These Terms are governed by the laws of Delaware, USA. Disputes shall be resolved by binding arbitration in Delaware, except where prohibited by law.

14. Changes

We may update these Terms. Material changes will be communicated via email at least 30 days in advance.
